Newcastle Announces Public Offering of Common Stock

NEW YORK--(BUSINESS WIRE)-- Newcastle Investment Corp. (NYSE: NCT) (the “Company”) announced today that it plans to make a public offering of 22,500,000 shares of its common stock, subject to market and other conditions. In connection with the offering, the Company intends to grant the underwriters an option for 30 days to purchase up to an additional 3,375,000 shares of common stock.

The Company expects to use the net proceeds from this offering to make investments in real estate securities and/or other real estate related assets, including mortgage servicing fees, and for general corporate purposes, which may include the repurchase of indebtedness, including indebtedness issued by the Company’s CDOs.

Citigroup, Barclays Capital, Morgan Stanley and UBS Investment Bank are the joint book-running managers for the offering. Macquarie Capital and Stifel Nicolaus Weisel are co-managers for the offering.
